Regulations of Nowa Ruda Industrial Park


Under the Settlement No. NPP 2/06/03 as of 10 June 2003 on establishing and commencing the activity of Nowa Ruda Industrial Park approved by the signatories and in connection with commencing the implementation of the first stage of park development, the Regulations of Nowa Ruda Industrial Park are introduced.

Chapter 1
General provisions

§ 1


The regulations are a document which regulates and specifies:
1)     the way of performing management of Nowa Ruda Industrial Park, hereinafter referred to as “Park” by the managing entity i.e. Agencja Rozwoju Regionalnego „AGROREG” S.A. [Regional Development Agency] in Nowa Ruda, hereinafter referred to as “Managing Entity”
2)     mutual obligations and powers of the Managing Entity, investors at the territory of the Park, companies which already function at the territory of the Park and companies providing services at the territory of the Park within the following scope:   supplies of electric energy, heat energy, gas, water, sewage disposal,  telecommunication services,
3)     organisational and legal factors of investing and undertaking business activity at the territory of the Park,
4)     rules of using the estate and infrastructure of the Park by the investors
 

§ 2


The regulations are binding at the whole territory of Nowa Ruda Industrial Park and they refer to:
1) owners of real properties, infrastructure and buildings and objects at the territory  
     of the Park,
2) investors buying real properties, leasing estate in the Park and
     entrepreneurs and physical persons using Park infrastructure,
3) business entities and physical persons undertaking and conducting
    business activity at the territory of the Park,
4)   Managing Entity.

§ 3


1. Nowa Ruda Industrial Park covers the area of 79ha 69ares 32m2 and is situated in the city Nowa Ruda at the following streets:
     Kłodzka, Bożkowska  and Spacerowa.
2. The area of the Park may be made larger or smaller in justified cases.
     It requires the consent of signatories of the Settlement No. NPP 2/06/03 as of 10 June 2003 on  establishing and commencing the activity of Nowa Ruda Industrial Park
    with the acceptance of Agencja Rozwoju Przemysłu S.A. [Industrial Development      Agency] Warsaw and Kłodzko staroste.  
3. The seat of the Managing Entity is at the territory of the Park in the building of Nowa Ruda  Entrepreneurship Incubator at Kłodzka 27 Street.



§ 4


1.    “Multi-Business Concept Concerning Programme and Space of Nowa Ruda Industrial Park” [“Wielobranżowa Koncepcja Programowo-Przestrzenna Noworudzkiego Parku Przemysłowego”] approved by the Managing Entity is a document presenting development and environment factors and specifying the strategy of development of the Park territory.
2.    The current material base of the Park in the form of territories, buildings and objects together with specification of their legal status and current owners is presented in Appendix No. 1 to these Regulations.

Chapter 2
Powers and obligations of the Managing Entity

§ 5


The Managing Entity is in particular entitled to:
1)    conduct tenders or negotiations in order to specify business entities, which will obtain the right to conduct business activity at the territory of the Park,   
2)    issue, withdraw or change the consent to conduct business activity at the territory of the Park and carry out current control of activity of the entities in accordance with the issued consent,
3)    let territories and production, service, warehouse areas established as a result of investment activity of the Managing Entity,
4)    conduct, on the basis of separately concluded agreements, tenders for disposal, let for perpetual usufruct or lease of real properties located at the territory of the Park, which real properties do not constitute the ownership of the Managing Entity,  
5)    have priority to acquire the title and perpetual usufruct of lands located at the territory of the Park.  

§ 6


The Managing Entity, after issuing consent to conduct activity at the territory of the Park, gives opinion and coordinates moving of the investor and business entities and physical persons undertaking and conducting business activity at the territory of the Park for administrative decisions concerning cases of spatial  development, including requirements of environment protection, construction law, permits concerning water and legal issues.

§ 7


For the proper development of the Park, the Managing Entity:
1)    coordinates the process of issuing technical conditions of supply,    
2)    participates in setting technical documentation,
3)    gathers geodetic information on location of buildings and constructions and elements of surface and buried utilities, which together with the current register of the state of lands ownership constitutes a developed system of information at the territory of the Park,
4)    specifies development directions of technical infrastructure.  

§ 8


1.    Managing Entity keeps roads, squares, pedestrian streets and lawns, which he owns in proper condition.  
2.    Entities conducting business activity at the territory of the Park keep roads, squares, pedestrian streets and lawns, which they own, have for perpetual usufruct or of which they are dependent owners in proper condition.

§ 9


The Managing Entity keeps the register of entities conducting business activity at the territory of the Park for the purposes of administration and service, and in particular for:
1)    setting the location of entities,
2)    conducting Park protection,
3)    control of human and goods traffic,  
4)    conducting and up-dating situation plans and maps of the Park,
5)    conducting information service in the Park,
6)    setting and collecting amounts due which result from costs as stipulated in  § 18 i § 19.

§ 10


The register of business entities constitutes a basis for concluding agreements with the said entities on providing services and administrative service by the Managing Entity at the territory of the Park and for setting the costs connected with administering the Park and maintaining the general infrastructure.

Chapter 3
Using utilities and other elements of the infrastructure
 
§ 11


Business entities acting in the Park get access to utilities such as: electric energy, natural gas, water, heat energy and to appliances for disposal of: sewage, industrial waste products and municipal waste or other elements of the existing infrastructure after signing proper agreements with suppliers thereof.

§ 12


The construction of service connections to the existing infrastructure in the Park area requires arrangements first with the Managing Entity, and then via administrative procedure specified by relevant legislation with public authorities competent in this field and is carried out at the effort and cost of interested business entity.

§ 13


The business entity acting in the Park obtaining from the administrative body decisions on investment or the plant which functions is obliged to produce the said decisions to the Managing Entity.

§ 14


Disposal of municipal waste and industrial waste products as well as sewage disposal takes place under the agreement concluded with the services provider.  Agreements concerning disposal of liquid industrial wastes may be determined by the necessity to build a proper sewage-treatment plant (neutralizer) of the said wastes or other devices resulting from permits concerning water and legal issues.

§ 15


The business entities conclude the agreements concerning the provision of telecommunication services with telecommunication companies on their own behalf.  

§ 16


The business entity ceasing business activity at the territory of the Park is obliged to repair the damages resulting from its activity and to rehabilitate the territory.

§ 17


Users of the real property situated at the territory of the Park are obliged to report to the register stipulated in § 15 any business activity undertaken at the said territory.

Chapter 4
Costs connected with administering
 
§ 18


Entities conducting business activity or possessing real properties situated at the territory of the Park are obliged to cover the costs which are borne by the Managing Entity or the entities, to which the Managing Entity ordered provision of services, connected with administering and maintaining general infrastructure of the Park.

§ 19


Costs connected with administering and maintaining general infrastructure of the Park cover:
1)    conducting settlements of location and keeping the register of entities,   
2)    keeping and up-dating the information system,  
3)    administrative service within the scope of performing construction works and settlements concerning land development,   
4)    conducting information service,  
5)    costs of other activities resulting from the needs of Park administration and maintaining general infrastructure of the Park.    

§ 20


Costs stipulated in § 19 do not cover costs of expert opinions, evaluations, analyses, documentation, performance and up-dating of maps of the territory and issuing decisions concerning spatial development and construction law, which were created in connection with individual needs of business entities conducting activity at the territory of the Park and are covered by them.    

§ 21


1.    The Managing Entity specifies rules of participation in costs stipulated in § 19 depending on:
a/ size of the area occupied by the business entity,
b/ volume of employment,
c/ volume of goods traffic,
d/ objects (kind) of business activity.
2.    Amounts due resulting from costs stipulated in § 19 are collected in monthly periods and may be changed or flat rate.

Chapter 5
Concessions for investors

§ 22


Concessions for investors commencing business activity at the territory of the Park are stipulated in the Resolutions of Municipal Council of Nowa Ruda:
u    No. 304/XXXVII/05 of 26 October 2005 on accepting the programme of assistance granted to entrepreneurs at the territory of Nowa Ruda within group exclusions - investments
u    No. 305/XXXVII/05 of 26 October 2005 on accepting the programme of assistance granted to entrepreneurs at the territory of Nowa Ruda within de minimis rule
constituting Appendix No. 2 to these Regulations.

Chapter 6
Rules of cooperation with clients of the park and Managing Entity organization
§ 23


Rules of managing real properties which are owned by the Managing Company are normalized in “Regulations of Managing Real Properties of the Company” which are binding in the Company and which were introduced on the basis of the Resolution of the Management Board of the Company of 29 April 2005.  

§ 24

Internal "Regulations of granting public procurements by Agencja Rozwoju Regionalnego  “AGROREG” S.A. in Nowa Ruda [Regional Development Agency] concerning Nowa Ruda Industrial Park”, which stipulate the way of implementation Managing Entity investments whose aim is to develop Nowa Ruda Industrial Park, and which were introduced by the Management Board of the Company, are binding in the Managing Company.


§ 25

1.    Issues connected with conducting investments in the park, service of investors, conducting negotiations and settlements with investors and entities providing services for the benefit of the park connected with providing utilities and providing services of experts and keeping register and data bases concerning the Park are realized by the Group of Nowa Ruda Industrial Park distinguished within the structure of the Managing Company.
2.    The Group of Nowa Ruda Industrial Park has its seat at the territory of the Park in the seat of Managing Company.

§ 26

Rules of functioning of the Group of Nowa Ruda Industrial Park and its organizational structure are stipulated in “Organizational Regulations of the Group of Nowa Ruda Industrial Park” introduced by the Management Board of the Managing Company.  

§ 27

Rules of cooperation of the Managing Entity with the Project Engineer are stipulated in the agreement concerning holding the position of an engineer for the undertaking management and supervision over implementation of the project “Nowa Ruda Industrial Park – the first stage of implementation”, which agreement was concluded on 30 September 2005 between the Managing Entity and the Consortium consisting of: Projekct Management Ltd and Ekocentrum – Wrocławski Ośrodek Usług Ekologicznych Sp. z o.o. [Wrocław Centre for Ecological Services] and in the so called Opening Report [“Raport Otwarcia”] accepted by the parties to the agreement.

§ 28

Rules of cooperation with internal and external auditors examining the scope of activity of the Park are stipulated by the internal organizational regulations of the Managing Company.  

§ 29

Experts preparing expert opinions for the Managing Entity are serviced by the Director of Nowa Ruda Industrial Park Project or by a designated employee of the Group of Nowa Ruda Industrial Park.

§ 30

The Managing Entity of the real properties in the Group of Nowa Ruda Industrial Park conducts the service of Lessees of real properties of the park.

§ 31

The Managing Entity realizes the cooperation with the partners of the project of the Park i.e. Nowa Ruda Municipal Gmina and Spółka Restrukturyzacji Kopalń S.A. in Katowice [Company of Mines Restructuring] through the director of the Project Nowa Ruda Industrial Park.
